Annual Compliance
    Service

    Company Annual Filing (AOC-4 & MGT-7).

Every company other than an OPC must file its audited financial statements in Form AOC-4 within 30 days of its annual general meeting, and its annual return within 60 days of it: MGT-7, or the abridged MGT-7A for small companies. We prepare both forms and their linked filings on the MCA21 V3 portal, so your public record matches your audited accounts and registers.

    How it works

Company Annual Filing (AOC-4 & MGT-7), step by step.

    Typical timeline

Typically 7–10 working days for the two forms once the audit is signed and the AGM is held. The usual constraints are audit sign-off, DSC availability and any resubmission the Registrar requests after review.

    1. 1

      Records and data check

We collect the audited financial statements, Board's report and auditor's report, and check your capital, director and auditor (ADT-1) records on the MCA portal before drafting.

    2. 2

      Board approval

We prepare the board resolution approving the financial statements and Board's report under section 134, and the notice convening the AGM.

    3. 3

      AGM and adoption

Shareholders adopt the accounts at the AGM, which is due within six months of the year end (nine months for the first AGM). We draft the resolutions and minutes.

    4. 4

      AOC-4 with linked forms

Within 30 days of the AGM we file AOC-4 (or its XBRL or NBFC version) with the linked AOC-1, AOC-2, AOC-4 CFS, CSR-2 and the Board's and auditor's report extracts that apply to you.

    5. 5

      MGT-7 or MGT-7A

After AOC-4, which updates your small company and holding or subsidiary status on the portal, we file the annual return within 60 days of the AGM, with the shareholder list, transfer details, meeting records and a photograph of the registered office.

    6. 6

      Approval and records

We track each SRN, respond to any resubmission the Registrar asks for, and update your statutory registers and compliance file.

    Before we start

    What we need from you.

Don't have everything yet? We send a short checklist after the first call and work with what you have.

    • Audited standalone financial statements with notes, and consolidated statements if you have subsidiaries or associates
    • Board's report with annexures, and the auditor's report (including CARO where it applies)
    • AGM notice, date of the meeting and minutes
    • SRN of the ADT-1 filed for your current auditor
    • List of shareholders and debenture holders as at the year end, with share transfers during the year
    • Details of board, committee and general meetings held, with attendance
    • A recent photograph of the registered office showing the building with the company's name and address visible
    • DSCs of the signing director and, where you have one, the company secretary
    How fees work

The fee depends on your situation. After a short call, the partner who will do the work tells you what's involved and gives you a fixed fee in writing — before any work begins.

    • Government fees and statutory charges are billed at actuals.
    • When you pay — upfront, in stages or on completion — is agreed in writing with the fee.
    FAQs

Questions about Company Annual Filing (AOC-4 & MGT-7).

Small companies and OPCs file the abridged MGT-7A; all other companies file MGT-7. Small company status is checked on the date of filing, and MCA expects AOC-4 to be filed first so the portal can update that status.
